This includes, without limitation, loss of profits, trading losses, capital depreciation, or reputational damage arising from the use, interpretation, or inability to use our reports. In all circumstances, the maximum aggregate liability of Speransky shall be strictly limited to the total amount actually paid by the user for the specific report or applicable invoice giving rise to the claim.

4. Fair Comment and Absence of Allegations

Speransky reports are designed to highlight algorithmic discrepancies between voluntary corporate sustainability disclosures (ESG reports) and empirical regulatory enforcement data. These reports constitute an automated synthesis of public records protected under the doctrine of fair comment. They do not constitute formal legal findings, certified audit opinions, or claims of civil, administrative, or criminal misconduct against any referenced corporate entity.

5. Intellectual Property and Redistribution

The proprietary algorithmic structure, Risk Index methodology, and compiled PDF reports are the exclusive intellectual property of Speransky. Reports purchased or downloaded are for internal corporate use only. Unauthorized third-party or public redistribution, resale, white-labeling, or automated scraping of Speransky data without explicit written consent is strictly prohibited.

6. Refund Policy

Due to the immediate delivery of proprietary digital data and bespoke risk intelligence, all sales are strictly final. No refunds, partial or in full, will be issued once the report or portfolio analysis is delivered.

7. Governing Law and Precedence of Master Services Agreement

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, excluding its conflicts of law principles. For institutional clients who have executed a separate Master Services Agreement ("MSA") with Global Data Intelligence LLC, the terms of the executed MSA shall govern and supersede these Terms of Service in the event of any conflict.
